Welcome to LIT Clinic (“we,” “us,” “our,” “LIT Clinic”). These Terms & Conditions (“Terms”) govern your access to and use of our website (https://www.litclinic.com/) (the “Site”) and any services, content, products, consultations, coaching, or therapies offered by LIT Clinic (collectively, the “Services”). By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, do not use or access the Site or Services.


1. Eligibility & Use

1.1 Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into binding contracts to use the Site and Services. By using the Site or Services, you represent and warrant that you meet these requirements.

1.2 Account Registration. To use certain features (e.g. booking, telehealth, community), you may have to register for an account. You are responsible for maintaining the confidentiality of your credentials (username, password). You agree to (a) notify us immediately of any unauthorized use, (b) accept liability for all uses of your account (unless caused by our breach).

1.3 Permitted Use. You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You will not engage in any conduct that: violates applicable laws or regulations; infringes or misuses intellectual property or rights of third parties; transmits viruses, malware, or harmful code; attempts to gain unauthorized access to our systems or user accounts; harasses or abuses any person or entity.


2. Services, Content & Disclaimers

2.1 Scope of Services. LIT Clinic provides integrative psychiatry, psychotherapy, coaching, holistic health services, telehealth, educational content, and related wellness offerings. Insurance acceptance, scopes, fees, and coverage may vary.
As stated on your site, you currently operate on a self-pay model; insurance is not accepted directly, though clients may receive documentation for possible out-of-network reimbursement. LIT Clinic

2.2 No Medical / Legal Advice. Content on the Site, including articles, blog posts, podcasts, and educational materials, is for general informational purposes only and does not constitute medical, psychiatric, psychological, legal, or financial advice. Use of the content does not create a patient‐provider relationship.

2.3 Telehealth & Risk. If Services include telehealth or remote consultations, you acknowledge the limitations and risks of remote delivery (e.g. technology failures, inability to assess nonverbal cues). You agree to hold LIT Clinic harmless from any claims arising from such limitations.

2.4 No Guarantees. While we strive for high quality care, we do not guarantee any specific results, outcomes, or improvements. Your results depend on many factors, including your commitment, consistency, biology, and external circumstances.

2.5 Third-Party Content & Links. The Site may link to third-party websites or include content provided by third parties. We do not endorse or control their content, and you access them at your own risk.


3. Fees, Payment & Refunds

3.1 Fees & Billing. You will pay fees as described in the service agreement, pricing page, or proposal. All fees (unless otherwise stated) are in U.S. dollars. You are responsible for providing accurate payment information and keeping it up to date.

3.2 Payment Methods. We accept various payment methods (credit/debit card, ACH, etc.). You authorize us to charge your payment method for all amounts due, including recurring charges if applicable.

3.3 Refunds & Cancellations. Our cancellation and refund policy will be described in your service agreement. Common policies include requiring notice (e.g. 24 or 48 hours) to cancel or reschedule a session without fee; missed appointments may be non-refundable. If a refund is granted, we may issue it to the original payment method.

3.4 Late or Non-Payment. If you fail to pay, we may suspend or terminate your access to Services, and seek collection. You agree to pay any costs (including legal or collection fees) incurred in recovering any overdue amounts.


4. Intellectual Property

4.1 Our Materials. The Site, content, designs, logos, text, images, audio, video, software, and other materials (collectively, “Our Materials”) are owned or licensed by LIT Clinic, and are protected by copyright, trademark, and other laws.

4.2 Limited License to You. Subject to these Terms, we grant you a limited, non-exclusive, non-sub-licensable, revocable license to access and use the Site and content for your personal, non-commercial use.

4.3 You Retain Your Input. You retain ownership of the content you provide (e.g. client input, notes, feedback). By providing content to us, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, distribute, and display it insofar as necessary to provide the Services.

4.4 Prohibited Use. You may not copy, reproduce, redistribute, publicly display, publicly perform, adapt, modify, or create derivative works of Our Materials, except as expressly permitted by us or under these Terms.


5. Confidentiality & Privacy

5.1 Privacy Policy. Your use of the Site and Services is also governed by our Privacy Policy, which explains how we collect, use, store, and disclose your personal information. By using our Site/Services you agree to that Privacy Policy. (Ensure your site includes a Privacy Policy page.)

5.2 Confidentiality. As part of providing the Services, we may exchange confidential information (medical, psychological, personal). We will maintain confidentiality in accordance with applicable laws (e.g. HIPAA, if applicable) and our professional obligations, except when disclosure is required by law (e.g. court order, mandatory reporting).

5.3 Exceptions. Confidentiality does not apply (and we are permitted to disclose) if we reasonably believe there is imminent risk of harm to yourself or others, or where otherwise required by law.


6. Term & Termination

6.1 Term. These Terms are effective when you first access the Site or engage with the Services, and remain in effect until terminated.

6.2 Termination by You. You may stop using the Site or Services at any time. You may also request termination of your active services in writing as per our cancellation policy.

6.3 Termination by Us. We may suspend or terminate your access to the Site or Services, with or without notice, if you breach these Terms, engage in misconduct, or for our operational reasons.

6.4 Effect of Termination. Upon termination, your right to use the Site and receive Services ceases. Sections that by nature survive (e.g. Payment, Intellectual Property, Disclaimers, Indemnity, Limitation of Liability) will continue to apply.


7. Disclaimers, Liability & Indemnification

7.1 Disclaimer of Warranties. The Site and Services are provided “as is” and “as available,” without warranties of any kind (express or implied). We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

7.2 Limitation of Liability. To the fullest extent permitted by applicable law, LIT Clinic (and its officers, employees, agents, affiliates) shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages (including lost profits, loss of data, interruption, or business loss), even if advised of the possibility of such damages.

7.3 Indemnification. You agree to indemnify, defend, and hold harmless LIT Clinic (and its affiliates, officers, employees, agents) from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of (a) your violation of these Terms, (b) your use of the Site or Services, or (c) your content or conduct.


8. Dispute Resolution & Governing Law

8.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of [Oklahoma], without regard to conflict-of-law principles.

8.2 Dispute Resolution / Arbitration. You and LIT Clinic agree to attempt to resolve any dispute informally first. If unresolved, you agree to resolve disputes through binding arbitration in [Oklahoma City, Oklahoma].

8.3 Waiver of Class Actions. Any arbitration or legal action must be brought on an individual basis; you waive the right to bring or participate in class, collective, or representative actions.


9. Miscellaneous Provisions

9.1 Entire Agreement. These Terms (plus the Privacy Policy, and any service agreements) constitute the entire agreement between you and LIT Clinic regarding Site and Services, superseding prior or contemporaneous agreements.

9.2 Amendments. We may update these Terms from time to time. Your continued use after changes constitutes acceptance of the new Terms.

9.3 Severability. If a provision of these Terms is found invalid or unenforceable by a court, that provision will be severed to the minimum extent required and the remaining provisions will remain in full force.

9.4 No Waiver. Our failure to enforce a right or provision in one instance does not constitute a waiver of that right or provision.

9.5 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights.

9.6 Notices. Notices to you may be via email or posted on the Site. Notices to us should be sent to [address / email].

9.7 Headings. Section headings are for convenience only and do not affect interpretation.
